Nhưng hồi năm ngóai ông đã phải nằm trên một cái chõng ẩm ướt trong nhà tù B14 tại Hà Nội sau một vụ tranh chấp trong việc làm ăn với các đối tác của nhà nước Việt Nam, và vụ đó trở thành một cuộc điều tra của công an với ông Nguyễn là nghi can chính.

Những nỗi tức tưởi của ông Nguyễn là một điển hình của những mối hiểm nguy lớn dành cho các nhà đầu tư ngoại quốc đang đổ dồn vào Việt Nam, nơi mà nền kinh tế tăng trưởng ở mức hơn 8 phần trăm một năm và được đánh giá rộng rãi là một thị trường mới xuất hiện, nóng bỏng nhất trong thế giới thứ ba, chỉ sau Trung Quốc và Ấn Ðộ. Niềm đau của ông Nguyễn cũng cho thấy các cơ quan hoặc cán bộ viên chức của nhà nước Việt Nam đôi khi họ có thể dùng những mánh lới cứng rắn để đạt được điều họ muốn khi chuyện làm ăn bị đổ bể.

Nằm tù 14 tháng trong khi chờ công an điều tra sự việc, ông Nguyễn phải nghe đài của nhà nước Việt Nam oang oang mỗi buổi sáng trong sân nhà tù với các xướng ngôn viên thúc giục người Việt hải ngoại trở về để bồi đắp vào nền kinh tế đang tăng trưởng nhanh chóng của đất nước.

“Thật là ngẫu nhiên. Tôi làm chính xác như điều nhà nước Viêt Nam muốn và cuối cùng thì vào tù.” Ông Nguyễn năm nay 58 tuổi, được thả ra hồi tháng 6 và bây giờ đang ở Hà Nội để chờ phán quyết cuối cùng về trường hợp của ông ta, đã nói như vậy.

Trong khi ở tù, ông Nguyễn nói rằng ông chỉ được gặp luật sư có 2 lần trong thời gian đó và tố cáo rằng ông ta đã bị một nhân viên công an đánh đập. Ðồ ăn trong tù thì được rất ít. Ông Nguyễn cho biết, trong dịp Tết, ông chỉ được cho ăn có một miếng thịt gà nhỏ xíu và một khẩu phần cơm mỗi ngày như thường lệ. Các viên chức công an thì không muốn nói gì về việc giam giữ ông Nguyễn.

Rồi thì sau khi ông Nguyễn đã ngồi tù được 14 tháng mà không bị buộc vào tội danh nào, gia đình của ông ta phải trả 85 ngàn Mỹ kim mà nhà nước Việt Nam bảo là tiền thế chân, công an Việt Nam kết luận trong bản báo cáo sơ khởi là không có bằng chứng rõ rệt nào để đưa ông Nguyễn ra tòa và thả ông ra. Tiền thế chân chưa được hoàn trả. Và ông Nguyễn vẫn đang chờ đợi xem các công tố viên Việt Nam có quyết định chính thức để buộc ông vào bất cứ tội danh nào hay không.

Sau hàng thập niên dưới sự cai trị của Cộng sản, hệ thống luật pháp của Việt Nam vẫn còn quá yếu kém để có thể áp dụng vào việc giải quyết các vụ tranh chấp làm ăn tư nhân, mà thường ở các quốc gia với nền kinh tế thị trường đã được ổn định thì các vụ tranh chấp này được giải quyết bởi các cơ quan độc lập.

Vậy thì khi không có sự bảo chứng từ các toà án dân sự, những người khiếu kiện có thể mang những khiếu nại của họ đến thẳng cho công an, và công an có thể giam giữ các nghi can đến hàng tháng trời mà không cần phải đưa ra một cáo trạng nào đối với các nghi can này. Trong những trường hợp điển hình khác, nhà nước Việt Nam đã dùng quyền hành của họ để tước đoạt các cơ sở kinh doanh tư nhân, không cho các chủ nhân một chút hy vọng nào để tìm lại công lý nơi các toà án.

Ông Tony Foster là đồng giám đốc của một cơ sở tại Việt Nam thuộc công ty luật Anh quốc Freshfields Bruckhaus Deringer, nói rằng một trong những điều hợm hĩnh của nền luật phápViệt Nam - một cái đống lôi thôi lộn xộn giữa luật lệ nội địa và luật lệ du nhập từ nước ngoài – là trong đó có cả một số các quy định rất chung chung về các tội hình sự, mà các quy định này có thể dùng để áp dụng cho một cơ sở kinh doanh.

Một trong những tội này là “quản lý kinh tế sai lạc” làm thất thoát tài sản nhà nước. Ông Foster cho biết rằng một cơ sở kinh doanh ngoại quốc có hợp đồng làm ăn chung với một cơ quan nhà nước có thể bị kết tội hình sự nếu họ vướng mắc vào một vấn đề quản trị đơn thuần, đưa đến trường hợp bị kết vào tội chính trị.

Chủ tịch Việt Nam Nguyễn Minh Triết đã nhận thức trong một cuộc phỏng vấn rằng đất nước của ông ta cần phải cải tổ hệ thống luật pháp cho thích hợp với tiêu chuẩn quốc tế. Nhưng theo những người gần gũi với quyết tâm cải tổ hệ thống luật pháp của Việt Nam thì việc này sẽ phải mất một thời gian đáng kể. Sự thúc đẩy việc cải tổ đã được thực hiện trong nhiều năm qua, ngoài những vấn đề khác thì còn lại là chú tâm vào việc tạo một sân chơi công bằng cho giới kinh doanh trong lẫn ngoài nước.

Cùng lúc đó, thì các vụ tranh chấp kinh doanh và vi phạm luật lệ bị vốn coi như là các tội hình sự thì tiếp tục chồng chất.

Hồi năm ngoái, 4 nhà kinh doanh người địa phương của chi nhánh Việt Nam thuộc ngân hàng ABN Amro Holding NV của Hoà Lan đã bị bắt giữ sau khi công an Việt Nam buộc tội họ là đã thực hiện một số vụ mua bán ngoại tệ với một nhân viên không có thẩm quyền của ngân hàng nhà nước, làm nhà nướcViệt Nam bị thất thoát 5 triệu đô la. ABN Amro phải trả cho nhà nước Việt Nam 4,5 triệu đô la hồi tháng 11 để cho nhân viên của họ được thả, bây giờ thì 4 nhà kinh doanh dịch vụ ngân hàng này được tự do hành nghề và đi lại trong nước. Nhưng cuộc điều tra về các hành vi của nhân viên ngân hàng ABN Amro này vẫn chưa được huỷ bỏ. Trước đó, một nữ phát ngôn viên cuả ABN Amro đã bác bỏ bất cứ hành vi sai trái nào của nhân viên họ tại Việt Nam.

Các ngân hàng ngoại quốc khác đã viết thư cho nhà nước Việt Nam để phản đối các hành động của công an, than phiền rằng dưới luật pháp của Việt Nam thì việc buộc tội hình sự cho các tranh chấp dân sự quá ư là dễ dàng.

Một cuộc tra cứu của nhà nước vào năm nay đã kết luận rằng các ngân hàng Việt Nam không tiến hành đúng đắn quy trình mua bán ngoại tệ.

Những người Việt hải ngoại trở về tham gia vào hành trình của Việt Nam để tiến ra khỏi nền kinh tế tập trung, đã kém thành công hơn hầu hết các nhà đầu tư ngoaị quốc khác. Nhiều người, trong đó có ông Nguyễn, than phiền rằng tư cách pháp luật của họ bị yếu thế vì nhà nước Việt Nam ngần ngại không coi họ như những người nước ngoài, mặc dù họ là những công dân hợp pháp của các quốc gia khác. Thí dụ như một trong những lý do mà công an giam giữ ông Nguyễn trong tù hơn một năm, theo những người đang theo dõi sâu sát vụ này cho biết, là để điều tra xem ông Nguyễn có nhận một cách bất hợp pháp bảo hiểm y tế dành riêng cho các nhân viên người nước ngoài làm việc cho Trường quốc tế Hà Nội mà ông ta đã giúp để tạo dựng hay không – mà không quan tâm đến việc ông Nguyễn là một công dân mang quốc tịch Hoa Kỳ.

Ðể cho ăn chắc, một số người Việt hải ngoại đã có vẻ coi thường luật pháp của Việt Nam trong quyết tâm làm giàu, gây hại đến uy tín của những người Việt hải ngoại khác –còn được gọi là Việt kiều – là những người trở về để làm ăn trong những doanh nghiệp đàng hoàng. Trong một vụ khá nổi tiếng, doanh nhân người Pháp Nguyễn Gia Thiều tạo dựng một cơ sở làm ăn với người em để buôn bán điện thoại di động hiệu Nokia và Samsung. Vào năm 2003, công an đã bắt giữ ông Thiều vì bị cáo buộc là đã buôn lậu điện thoại di động vào Việt Nam để tránh không phải đóng thuế nhập cảng. Sau đó ông ta đã bị kết tội và tuyên án 20 năm tù.

Trong khi đó thì ông Nguyễn vẫn đang cố gắng để minh oan cho mình.

Là một người đàn ông với một mái tóc bạc dầy và các bằng cấp từ hai trường đại học Vanderbilt và George Mason ở Hoa Kỳ, Nguyễn Ðình Hoan rời Việt Nam từ thập niên 1960s và không trở về quê hương trong hàng chục năm vì chiến tranh và tình hình chính trị rối rắm Giống như nhiều người Việt hải ngoại khác, ông ta đã thay đổi tên từ sau ra trước theo như cách của người Tây phương, và trở thành Hoan Nguyễn.

Cuối cùng thì vào năm1995, ông ta đã trở về với các kế hoạch để thiết lập một ngôi trường quốc tế để phục vụ cho gia đình của những người ngoại quốc lúc bấy giờ đang bắt đầu ồ ạt đến Việt Nam. Ông Nguyễn lập ra Trường quốc tế Hà Nội với sự hợp tác của Trung tâm Giáo dục nhà nước Việt Nam vào năm 1996. Nhà nước cung cấp một hợp đồng 20 phần trăm thuê mướn trên một mảnh đất mà bây giờ rất có giá gần trung tâm Hà Nội, để lấy về 30 phần trăm lợi tức trong nghiệp vụ này.

Khi mà trị giá của miếng đất mà ngôi trường được xây trên miếng đất đó gia tăng, thì căng thẳng giữa ông Nguyễn và các đối tác của ông ta cũng tăng theo. Theo báo cáo của công an điều tra thì vào tháng 4 năm 2006, công an đã bắt giữ ông để điều tra việc đối tác nhà nước tố cáo rằng ông đã nhận bảo hiểm y tế một cách bất hợp pháp, và việc ông bị cáo buộc là đã thuê mướn trái phép một người trợ tá riêng để giúp ông trong một doanh nghiệp giảng dạy Anh ngữ riêng biệt.

Trong khi ông Nguyễn đang nằm tù, thì Toà Ðại sứ Hoa Kỳ tại Hà Nội đã khuyến cáo vợ ông Nguyễn là không nên đi về Việt Nam để cố tìm cách lấy lại tự do cho chồng bà, bởi vì họ không thể nào bảo đảm cho sự an toàn của bà tại đây, những người trong gia đình bà cho biết như vậỵ.

Hồ Ngọc Ðài, cựu giám đốc Trung tâm Giáo dục của nhà nước Việt Nam, là đối tác của ngôi trường quốc tế này, và là con rể của một cựu Tổng bí thư đảng, đã gọi ông Nguyễn là “một tên ăn cắp” nhưng từ chối không chịu giải thích lý do tại sao hắn ta chắc chắn ông Nguyễn là một tội phạm, và không muốn nói nhiều thêm về vấn đề này.

Ông Nguyễn luôn duy trì rằng ông ta không hề làm điều gì sai cả -- và tiền lương trả cho người trợ tá riêng của ông được chia đôi giữa nhà trường và cá nhân ông ta

Vào tháng 6, sau khi ông Nguyễn được thả ra, thì trường hợp của ông được đưa lên bàn làm việc của thủ tướng Việt Nam là Nguyễn Tấn Dũng, nguyên là một cựu thống đốc ngân hàng trung ương với một uy tín về tính thẳng thắn. Theo báo Công an Nhân dân thì Nguyễn Tấn Dũng đã chỉ đạo cho các thành viên người Việt trong ban giám đốc nhà trường phải giải quyết ngay những tranh chấp giữa nhà trường với ông Nguyễn, nếu không xong thì nhà nước sẽ ra tay với những quyết định riêng.

Hanoi Can Be Tough On Foreign Investors; One Man's Jail Ordeal

HANOI, Vietnam -- When American businessman Hoan Nguyen came to Vietnam a decade ago with plans to build an international school, he says he was bright-eyed with hope for the country of his birth.

But by last year he was lying on a damp bench in Hanoi's B14 prison after a business dispute with his Vietnamese government partners turned into a police investigation with Mr. Nguyen as the key suspect.

Mr. Nguyen's travails highlight one of the big risks for the foreign investors who have been flocking to Vietnam, whose economy has been growing at more than 8% a year and which is widely regarded as the developing world's hottest emerging market after China and India. It also shows how Vietnamese government agencies or officials can sometimes employ tough tactics to get what they want when a deal goes wrong.

In jail for 14 months while investigators probed the case, Mr. Nguyen listened to Vietnamese state radio booming in the prison's courtyard each morning as announcers exhorted overseas Vietnamese to come home to fuel the country's rapid economic growth.

"It was so ironic. I did exactly what the government wanted and I ended up in jail," says the 58-year-old Mr. Nguyen, who was released in June and is now in Hanoi awaiting the final resolution of his case.

While in prison, Mr. Nguyen says he was given access to a lawyer only twice during his detention and alleges he was once beaten by a police officer. Food was meager. At Vietnamese New Year, he says, he was allowed a little chunk of chicken with his once-a-day portion of rice. Police officials declined to comment on Mr. Nguyen's detention.

Then, after Mr. Nguyen had spent 14 months behind bars without charges and his family paid $85,000 in what they were told was bail, Vietnamese police concluded in their initial report there wasn't sufficient evidence to prosecute him and let him go. The bail money hasn't been returned. Mr. Nguyen is still waiting for Vietnamese prosecutors to formally decide if they will charge him with any offense.

After decades of Communist rule, Vietnam's legal system is still ill-equipped to handle civil business disputes that would be routinely handled by independent regulators in other nations with well-established market economies.

So without recourse to civil courts, complainants can take their grievances directly to the police, who can detain suspects for months without filing charges against them. In other instances, the government has used its authority to seize private businesses, leaving their owners little prospect of redress in the courts.

Tony Foster, the managing partner of the Vietnam practice of U.K.-based legal firm Freshfields Bruckhaus Deringer, says one of the idiosyncrasies of Vietnamese legal code -- a hodgepodge of indigenous and imported regulations -- is that it includes some very broad definitions of crimes, which can easily be applied to a business setting.

One is the crime of "economic mismanagement" resulting in losses to the state. Mr. Foster says that a foreign business engaged in a joint venture with a state-owned agency could face criminal prosecution if it stumbles over a simple administrative step in a politically charged case.

Vietnamese President Nguyen Minh Triet acknowledged in a recent interview that his country needs to amend its legal system to bring it more in line with international standards. But people familiar with Vietnam's legal-reform effort say it will take considerable time. The reform drive has already been under way for several years, focusing, among other things, on leveling the playing field between foreign and local businesses.

In the meantime, business disputes and regulatory violations that are treated as crimes keep piling up.

Last year, four local traders at the Vietnam branch of Dutch bank ABN Amro Holding NV were arrested after Vietnamese police accused them of conducting a series of foreign-exchange trades with an unauthorized trader at a state bank, in which the government lost $5 million. ABN Amro paid the Vietnamese government $4.5 million in November in an effort to get its staff released; the four bankers are now free to work and travel within the country. But the investigation into the actions of the ABN Amro staff hasn't yet been dropped. Previously, an ABN Amro spokeswoman has denied any wrongdoing by its traders in Vietnam.

Other foreign banks protested the police actions in a letter to the government, complaining that under Vietnamese law it is too easy to criminalize ordinary civil disputes.

A government audit this year concluded that Vietnamese banks don't adequately regulate their foreign-exchange trading.

Expatriate ethnic Vietnamese who have returned to join the country's march away from a centrally planned economy have fared worse than most other foreign investors. Many, including Mr. Nguyen, complain their legal situation is compromised because the state is reluctant to regard them as foreigners, even though they are legally citizens of other countries. For example, one of reasons the police held Mr. Nguyen in prison for more than a year, according to people closely following the case, was to investigate whether he illegally received medical insurance reserved for foreign employees of the Hanoi International School he helped set up -- overlooking that Mr. Nguyen is a U.S. citizen.

To be sure, some overseas Vietnamese appear to have flouted the country's laws in their effort to make their fortunes, damaging the reputation of other overseas Vietnamese -- or Viet Kieu -- who have returned to engage in legitimate businesses. In one well-known case, French businessman Nguyen Gia Thieu built a business with his brother selling Nokia and Samsung mobile phones. In 2003, police arrested Mr. Thieu for allegedly smuggling the phones into Vietnam to avoid import duties. He was later convicted and sentenced to 20 years in prison.

Mr. Nguyen, meanwhile, is still fighting to clear his name.

An energetic man with a thick mop of gray hair and degrees from Vanderbilt and George Mason universities in the U.S., Nguyen Dinh Hoan left Vietnam in the 1960s and didn't return for decades because of war and political upheaval there. Like many overseas Vietnamese, he reversed his name to follow Western practices, and became known as Hoan Nguyen.

In 1995, he finally returned with plans to establish an international school to cater to the families of the foreign expatriates who were then beginning to flock to the country. Mr. Nguyen formed the Hanoi International School in partnership with the Vietnamese government's Center for Education in 1996. The government provided a 20% lease on a now-valuable plot of land in booming downtown Hanoi in return for a 30% stake in the venture.

As the value of the land on which the school is built rose, tensions between Mr. Nguyen and his partners also grew. In April 2006, police arrested Mr. Nguyen as part of their investigations into the government partner's claims that he illegally received medical insurance, and into his allegedly improper hiring of a personal assistant to help him in a separate English-language teaching business, police investigators said in their report.

While Mr. Nguyen was in prison, U.S. Embassy officials in Hanoi warned Mr. Nguyen's wife in the U.S. against visiting Vietnam to try to help obtain her husband's release because they couldn't guarantee her safety here, family members say.

Ho Ngoc Dai, former director of the government's Center for Education, the school's partner, and a son-in-law of a former Communist Party chief, called Mr. Nguyen "a thief" but refused to explain why he believes Mr. Nguyen is a criminal and declined to discuss the matter further.

Mr. Nguyen maintains he did nothing wrong -- and that the salary payments to his personal assistant were split between the school and himself.

In June, after Mr. Ngyuen's release, his case ended up on the desk of Vietnam's prime minister, Nguyen Tan Dung, a former central-bank chief with a reputation for straight-shooting. He instructed the Vietnamese members of the school's board to resolve its disputes with Mr. Nguyen, failing which the government would impose its own solution, the state-run People's Police newspaper reported.
